Terms and Conditions

This Terms and Conditions document governs your access to and use of the PRABHAV platform, an initiative operated under NGOExperts. By accessing or using our Platform, you agree to comply with these terms.

Section 01

Scope of Facilitation Services

PRABHAV acts as an intermediary advisory and tracking platform connecting registered Indian NGOs with Corporate partners for CSR project funding, transparent milestone tracking, and compliance management. PRABHAV is an advisory and technology platform, not a financial institution.

Section 02

Eligibility & Partner Onboarding

  • NGO Requirements: Non-profits must be legally registered entities in India (Trust, Society, or Section 8 Company) holding active statutory approvals (such as 12A, 80G, CSR-1, and FCRA where applicable). All submitted financial and operational records must be authentic and true.
  • Corporate Requirements: Corporate partners agree to allocate and disburse CSR capital in accordance with Section 135 of the Indian Companies Act, 2013, and applicable CSR Rules.
Section 03

Milestone Funding & Verification Proof

  • Phased Dispersal: Project funding is released on a structured, milestone-completion basis upon verification of agreed deliverables.
  • Field Evidence: Participating NGOs must upload accurate project proof, including valid expense invoices and geotagged photographs. Submitting altered or falsified documentation will lead to immediate account termination and potential legal action.
Section 04

Confidentiality & Data Privacy

All operational agreements, donor details, project proposals, and financial documentation shared on the Platform are kept strictly confidential, except where disclosure is mandated by law or required for statutory CSR reporting.

Section 05

Limitation of Liability

PRABHAV facilitates due diligence and project verification but shall not be held liable for misrepresentations by participating entities, ground-level delays caused by force majeure, or independent contractual disputes arising between NGOs and Corporate partners.

Section 06

Governing Law

These Terms shall be governed by and construed under the laws of India, with exclusive jurisdiction resting in the courts of Delhi/Noida, India.
